Medius Holdings Co., Ltd. (JASDAQ:3154) signed a basic agreement to acquire 78.33% stake in Xiot, K.K. from Katsumi Ataka, Masao Kirihara, Emiko Ataka, employee stock ownership plan (ESOP) association of the Japan and other shareholders for approximately ¥260 million on November 20, 2013. Medius Holdings will acquire 7230 shares of Xiot, K.K. Katsumi Ataka holds 33.04% stake in Xiot, K.K., Masao Kirihara holds 28.87% stake and Emiko Ataka holds 14.08% stake. Xiot, K.K. reported net assets of ¥298 million, total assets of ¥1.16 billion, sales of ¥2.67 billion, operating profit of ¥53 million and net income of ¥50 million for period ended July 2013.
As on March 19, 2014, Medius Holdings Co., Ltd. (JASDAQ:3154) signed share exchange contract to acquire 78.33% stake in Xiot, K.K. Square Consulting Co., Ltd. acted as third-party valuer for Medius Holdings. The Board of Directors of Medius Holdings passed a resolution for the acquisition on November 20, 2013. The transaction is expected to be completed on July 1, 2014.
