Meiji Machine Co., Ltd. (TSE:6334) agreed to acquire Yanagihara Mill Co., Ltd. from an unknown individual for nil consideration on September 26, 2017. Under the terms of the transaction, Meiji Machine Co., Ltd. will acquire 1,000 shares of Yanagihara Mill Co., Ltd. Post-acquisition, Yanagihara Mill Co., Ltd. will operate as a subsidiary of Meiji Machine Co., Ltd. For the year ended July 31, 2017, Yanagihara Mill Co., Ltd. reported total revenues of ¥142 million, total assets of ¥67 million, operating loss of ¥4 million, net loss of ¥5 million and nil net assets. Board of Directors resolved the transaction on September 26, 2017. The transaction is expected to completed on September 26, 2017. Meiji Machine Co., Ltd. will pay an advisory cost of ¥1 million for the transaction.
