Update of the Statement of the Management Board and the Supervisory Board of Mynaric AG

on the recommendations of the "Government Commission on the German Corporate Governance

Code"

from April 2023

In April 2023, the Management Board and Supervisory Board of Mynaric AG issued a Declaration of Conformity in accordance with Section 161 of the German Stock Corporation Act. This statement is supplemented and updated as follows:

In accordance with Recommendation C.10 of the German Corporate Governance Code in the version dated April 28, 2022 ("GCGC"), the Chairman of the Supervisory Board should be independent of the Company and the Management Board. In accordance with recommendation C.7 of the German Corporate Governance Code, the assessment of independence shall take into account, among other things, whether the Supervisory Board member was a member of the Management Board of the Company in the two years prior to the appointment.

The Chairman of the Supervisory Board of the Company, Bulent Altan, was a member of the Compa- ny's Management Board in the two years prior to his election as a member and Chairman of the Supervisory Board. However, the Supervisory Board is of the opinion that the Company will benefit from Bulent Altan's long-standing affiliation with the Company and from his extensive experience and industry knowledge, especially in his role as a member and Chairman of the Supervisory Board. Against this background, Mynaric AG declares a deviation from recommendation C.10 of the German Corporate Governance Code as a precautionary measure.

In all other respects, the Declaration of Conformity from April 2023 remains unchanged.
