shareholders at the time of voting. The Voting Result: 3,943,758,858 ayes
(including 3,376,927,223 voting rights cast by the electronic method),
representing 84.4% of the total represented voting rights present;
1,411,806 nays (including 1,411,806 voting rights cast by the electronic
method), 0 invalid votes and 728,154,244 abstention votes/no votes
(including 727,910,171 voting rights cast by the electronic method).
The proposal was approved as the ayes exceeded the requisite majority.

10.Impact on the company's finance and business:
A. Item (1) and Item (7) are re-invested companies of Nan Ya Plastics
(Hong Kong) Co., Ltd. which is NPC's subsidiary with 100% shareholding.
B. Item (2) is a re-invested company of Nan Ya PCB Corp. which is NPC's
invested company under the equity method with 66.97% shareholding.
C. NPC does not invest Item (3) to Item (6).
11.If the directors have invested in the mainland China area enterprise,
the monetary amount of the investment and their shareholding ratio:
(1)Director Formosa Chemicals & Fibre Corp. invested NT$29,959,815 thousand
in Formosa Chemicals Industries (Ningbo) Co., Ltd. with 100% shareholding.
