National Graphite Corp. (OTCPK:NGRC) entered in a share exchange agreement to acquire Biotech Development Corp from Ulrike Dickmann, Axel Kutscher and Frank Petermeyer for $10 million in stock on September 30, 2014. National Graphite will issue 25 million shares as consideration. Biotech Development Corp. will operate as wholly-owned subsidiary of National Graphite Corp.

Post acquisition, Ulrike Dickmann was appointed as the President and Chief Executive Officer, Wolfgang Kochs as Chief Financial Officer and Martina Helmes as the Secretary of National Graphite Corp. Kenneth B. Liebscher, Howard Bouch and Fortunata Villamagna resigned as officers and Directors of National Graphite Corp. The transaction is subject to completion of due diligence investigation. Harold P. Gewerter of Harold P Gewerter Ltd acted as legal advisor to National Graphite Corp. George G. Chachas of Chachas Law Group PC acted as legal advisor to Biotech Development Corp.
