On March 2, 2023, OGE Energy Corp. filed a preliminary proxy statement soliciting proxies and urged the shareholders to vote against a shareholder proposal, requesting that the board take each step necessary so that each voting requirement in the charter and bylaws that calls for a greater than simple majority vote be replaced by a requirement for a majority of the votes cast for and against such proposals, or a simple majority in compliance with applicable laws, submitted by John Chevedden at the Company's annual shareholders meeting scheduled to be held on May 18, 2023.
