Sargon Capital Pty Ltd agreed to acquire Diversa Trustees Limited and CCSL Limited from OneVue Holdings Limited (ASX:OVH) for AUD 45 million on December 20, 2018. Under the terms of transaction, Sargon Capital Pty Ltd will pay AUD 37 million on completion and a further contingent payment of AUD 8 million in 12 months. As of April 1, 2019, Sargon Capital Pty Ltd signed a variation agreement and paid AUD 1 million out of total consideration. As of May 31, 2019, Sargon Capital Pty Ltd has agreed to pay an additional deposit of AUD 1 million by June 4, 2019. As on November 22,2019, the deferred purchase price of AUD 31million which is due from Sargon Capital Pty Limited on November 30, 2019 will now be payable on or before May 29, 2020 and will pay interest on the outstanding balance of the deferred purchase price during this period. For the year ended June 30, 2018, Diversa Trustees Limited and CCSL Limited had revenue of AUD 6.7 million and EBITDA of AUD 2.67 million. The transaction is subject to satisfaction of conditions precedent typical in a transaction of this nature and subject to a determination by the Australian Securities Exchange as to the requirement for shareholders’ approval under Chapter 11 of the Australian Securities Exchange Listing Rules. As of May 31, 2019, only one condition precedent remains to be satisfied. The transaction is expected to be completed in early 2019. As of April 1, 2019, the transaction is expected to close on April 30, 2019. As of April 30, 2019, the transaction is expected to close on or before May 31, 2019. OneVue Holdings Limited will use the cash to further reduce debt, target accretive acquisitions in its core business areas and expects to pay a fully franked special dividend. As of May 31, 2019, the transaction is expected to close on June 21, 2019. As of June 21, 2019, the transaction is expected to close on June 27, 2019. Sargon Capital Pty Ltd completed the acquisition of Diversa Trustees Limited and CCSL Limited from OneVue Holdings Limited (ASX:OVH) for AUD 43 million on June 28, 2019. Sargon Capital Pty Ltd has paid initial consideration of AUD 12 million in cash and deferred payment of AUD 31 million payable by November 30, 2019. No contingent consideration will be paid. Out of the net cash proceeds received, AUD 8.2 million is being paid to KPMG in relation to the acquisition of the KPMG Super Services Business, leaving AUD 1 million remaining payable in January 2020.
