Sergey Stefanovich and Vladimir Pakhomov agreed to acquire remaining 90% stake in Sergeyevsky Gold Deposit in the Zabaykalsky Region from Orsu Metals Corporation (TSXV:OSU) on May 24, 2022. Under the terms of agreement buyers will pay nominal consideration on closing, but will pay contingent consideration of up to a maximum $4.5 million to Orsu in the event that the Buyers sell the Russian Asset within five years from closing to a non-sanctioned third-party buyer. As of August 5, 2022, Russian government announced that in response to international financial sanctions, it had passed a decree restricting the transfer of any direct or indirect foreign ownership interest in certain asset classes, including precious metals mineral rights. Orsu will remain halted until all necessary filings in respect of the RTO have been accepted by applicable regulatory authorities.

Sergei Stefanovich and Vladimir Pakhomov have resigned as directors of Orsu Metals Corporation and Sergey Kurzin has been appointed as the Interim Managing Director.
