WINDING UP PETITION AGAINST THE COMPANY

This announcement is made by Ping An Securities Group (Holdings) Limited (the "Company") pursuant to Rule 13.09(2)(a) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited and the inside information provisions under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

Reference is made to the announcement of the Company dated 24 June 2020 (the "Announcement") relating to a statutory demand. Unless otherwise defined, terms used herein shall have the same meanings as defined in the Announcement.

On 27 July 2020, the Company received a petition (the ''Petition'') filed with the High Court of The Hong Kong Special Administrative Region (the "Court") on 15 July 2020 by Ms. Yang Xueli (the ''Petitioner'') in the matter of Section 327(4)(a) of the Companies (Winding Up and Miscellaneous Provisions) Ordinance (Chapter 32, Laws of Hong Kong) applying for winding up of the Company. The winding up petition will be heard before the Court at 9:30 a.m. on Wednesday, 21 October 2020.

The Petition was filed against the Company on the principal ground that the Company has failed to pay the amount of HK$10,000,000, being the principal amount of the bond issued by the Company to the Petitioner together with interest accrued thereon.

The Company is seeking legal advice in relation to the Petition. Further announcement(s) will be made by the Company to keep its shareholders and investors informed of any significant development of the Petition as and when appropriate.
