Jerzy Zań is the new President of the Management Board of Polenergia S.A. Two of Dominika Kulczyk's closest associates will join the Management Board of Polenergia
The Supervisory Board of Polenergia has supplemented the composition of the Group's Management Board. Jerzy Zań has become the new President of the Management Board of Polenergia S.A. Andrzej Filip Wojciechowski will also join the Management Board as the Vice-President. These are the two closest collaborators of Dominika Kulczyk, the Chairwoman of the Supervisory Board of Polenergia. Jerzy Zań has so far served as CFO (Chief Financial Officer) of Dominika Kulczyk's group of companies, and Andrzej Filip Wojciechowski was COO (Chief Operating Officer) of the group.

There were also changes in the Supervisory Board yesterday. The Board was joined by Jacek Głowacki, former long-term President of the Management Board of Polenergia and a close associate of Jan Kulczyk and later Dominika Kulczyk.

Polenergia' s very strong position on the market and the implementation of onshore projects give us a stable foundation to meet the new challenge, which is the construction of three offshore wind farms with a huge capacity. This is a difficult and demanding project that requires new dynamics and new energy from the Management Board. One of the biggest challenges of the company will be to build a consortium of banks and provide financing for this project, which is why my CFO - a man with extensive experience in banking - is becoming the President of Polenergia.

Dominika Kulczyk

Chairwoman of the Supervisory Board of Polenergia S.A.

Jerzy Zań has nearly 25 years of experience in finance and banking, where he held key positions related to business development and management as well as financial operations.

From 2019 to 2023, he was the Vice-President of the Management Board of Bank Ochrony Środowiska, which specializes in financing green investments, with particular emphasis on renewable energy sources. A graduate of the Warsaw School of Economics in the field of Finance and Banking. He graduated from the Carlson School of Management Executive MBA at the University of Minnesota, conducted in cooperation with the Warsaw School of Economics.

It is a great honour to join the Management Board of Polenergia. It is a Group with excellent results and extraordinary potential. I am very pleased with the great trust placed in me by the Supervisory Board, and above all by the Chairwoman of the Supervisory Board, Dominika Kulczyk. Polenergia is developing at an exceptionally dynamic pace. In the last four years, the value of the company's shares has increased by 300%. This is a very strong foundation for continuing activities on an even larger scale. Today, Polenergia's priority is the construction and commissioning of wind farms in the Baltic Sea. The Baltic projects with a total capacity of up to 3000 MW will open a completely new stage of our country's energy transformation.

Jerzy Zań

President of the Management Board of Polenergia S.A.

Andrzej Filip Wojciechowski, who graduated from the Higher School of Commerce and Law (now Lazarski University) and MBA studies at the Carlson School of Management at the University of Minnesota, conducted in cooperation with the Warsaw School of Economics, became the Vice-President of the Management Board. He started his career at the National Bank of Poland as an associate of Prof. Leszek Balcerowicz.

He specializes in business transformations, in particular building strategies aimed at increasing value, managing the implementation of key growth factors, changing business models, building financing, crisis management, as well as building and developing teams. He gained experience in European companies operating in various industries.

After the addition, the Management Board of Polenergia will work in a four-person composition. In addition to Jerzy Zań and Andrzej Filip Wojciechowski, the Board consists of Piotr Maciołek and Iwona Sierżęga.

At the same time, there were also changes in the Supervisory Board of Polenergia. The Board was joined by Jacek Głowacki, former President of the Management Board of Polenergia, Member of the Management Board of Polenergia Holding and Polenergia International in the years 2011-2019.

He is one of the key experts supervising the liberalization of the Polish energy sector and the Vice-President of the Subcarpathian Hydrogen Valley. Jacek Głowacki is a graduate of the AGH University of Science and Technology in Krakow and holds an MBA from the University of Chicago. Recently, he was the President of the Management Board of the Group's Nowa Sarzyna CHP Plant.

The appointment of Jerzy Zań and Andrzej Filip Wojciechowski is a huge reinforcement of the Management Board of Polenergia before the implementation of key projects in the Baltic Sea, and this is an extremely important message for the market and our investors. We have already contracted the most important elements of the first two wind farms. Now it's time to close the financing and start the construction phase. Our offshore projects will change the landscape of the Polish energy sector on an unprecedented scale, powering millions of Polish homes with green energy. This is the most important task facing the new Management Board of Polenergia.

Dominika Kulczyk

Chairwoman of the Supervisory Board of Polenergia S.A.

Recently, Polenergia and Equinor, which jointly develop offshore wind farms, have signed final agreements with suppliers of wind turbines and their foundations. 100 state-of-the-art offshore wind turbines for the Baltic II and Baltic III projects will be supplied by Siemens Gamesa. 100 monopiles for both projects will be produced by the Dutch company SIF Netherlands B.V.

The Baltic offshore wind farms, with a total capacity of up to 3000 MW, will provide green energy for more than 4 million households. These investments are of strategic importance for Poland's energy security.
