NOTICE OF DISSOLUTION OF SHAREHOLDERS' AGREEMENT AS PER ARTICLE 122 OF LEGISLATIVE DECREE 58/1998 ("CFA") AND ARTICLE 131 OF CONSOB REGULATION ADOPTED WITH MOTION 1999/11971 ("ISSUERS' REGULATION")

Milan, May 25, 2021 - Retelit S.p.A. (the "Company") announces to having received notice that on May 21, 2021, the shareholders' agreement as per Article 122, paragraph 1 and paragraph 5, letter

1. and b) of the CFA, signed on April 23, 2021 between three companies of the Athesia Group and the former shareholders of the Group headed by the company Partners Associates S.p.A, was dissolved due to the expiry of its term.

Attached hereto is the notice of dissolution of the shareholders' agreement sent to the Company today, which is also published on the Company website www.retelit.it (Investors / Corporate Governance section).

Ai sensi dell'art. 131, comma 4, lett. b), Regolamento Emittenti, si rende noto che in data 21 maggio 2021 è venuto a scadenza per decorso del termine di durata il patto parasociale, riconducibile alle tipologie di cui all'art. 122, commi 1 e 5, lett. a) e b), TUF, stipulato in data 23 aprile 2021 tra le seguenti società/persone fisiche: Athesia S.p.A.; Athesia Tyrolia Druck GMBH; Athesia Druck S.r.l.; Consulenti Associati S.p.A.; Roberto Jacomo Cella; Paola Citelli; Ennio Baracetti; Maria Corrini; Michele Petrazzo; Giusy Baracetti; Mariano Thiella; RNJ Capital S.r.l.; Armando Cavallotti; Fabio Scagliarini; Carlo Cranchi; Davide Giustina; RiverRock Italian Hybrid Capital Fund; e FVS SGR S.p.A. (nell'esercizio delle sue funzioni di promotore e gestore del fondo denominato "Fondo Sviluppo PMI"), relativo a n. 22.653.466 azioni di Reti Telematiche Italiane S.p.A., con sede legale in Milano, via Pola n.9, costituenti complessivamente il 13,79% del capitale sociale della stessa. Della notizia dello scioglimento del Patto Parasociale è data pubblicità mediante deposito della comunicazione di scioglimento presso il Registro Imprese di Milano e mediante pubblicazione sul quotidiano "La Repubblica".
