Rocky Mountain Dealerships Inc. (TSX:RME) entered into agreement for a going-private transaction. Rocky Mountain and 2223890 Alberta Ltd. (AcquireCo), an entity controlled by Matthew Campbell, chairman of the board of directors of Rocky Mountain Dealerships, and Garrett Ganden, president and chief executive officer of Rocky Mountain Dealerships, have entered into an arrangement agreement pursuant to which AcquireCo will acquire all of the issued and outstanding common shares of Rocky Mountain Dealerships, excluding certain shares controlled by the participating shareholders, for $7 per share in cash, in accordance with a series of steps under a plan of arrangement pursuant to the Business Corporations Act (Alberta). Pursuant to the Arrangement Agreement, RME has a 35-day go-shop period, ending on December 6, 2020 (the "Go-Shop Period"), during which it is permitted to actively solicit, evaluate and enter into negotiations with third parties that express an interest in acquiring RME.
