The debtor has been authorized to sell its certain assets to With You, Inc., for a purchase price of $65 million plus the amount by which the estimated closing working capital amount is greater than zero, if any, minus the amount by which the estimated closing working capital amount is less than zero. The debtor?s assets include 62.5% of the membership interests in With You, Inc. The buyer is represented by Mitchell C. Littman of Littman Krooks LLP and Mette H. Kurth of Culhane Meadows, PLLC as its legal advisors and the seller is represented by Joshua Brody, and Saee Muzumdar of Gibson, Dunn & Crutcher LLP.
