Shenguan Biology had acquired on-market an aggregate of 5,000,000 Shares in a series of transactions conducted from 12 July 2017 to 17 July 2017, representing approximately 0.15% of the issued share capital of the Company as at the date of this announcement. Rich Top Future had acquired on-market an aggregate of 10,194,000 Shares in a series of transactions conducted from 17 July 2017 to 18 July 2017, representing approximately 0.31% of the issued share capital of the Company as at the date of this announcement. As at the date hereof, Rich Top Future was beneficially owned by Ms. Zhou and two other shareholders as to approximately 65.45%, 20.84% and 13.71% respectively. After the Acquisitions and as at the date of this announcement, Ms. Zhou is interested in a total of 2,234,136,000 Shares, representing approximately 68.55% of the issued share capital of the Company.

This announcement is made voluntarily by Shenguan Holdings (Group) Limited (the "Company").

The board (the "Board") of directors (the "Directors") of the Company has been informed by (i) Shenguan Biology Science & Technology Investment Company Limited ("Shenguan Biology") that Shenguan Biology had acquired on-market an aggregate of 5,000,000 shares of the Company (the "Shares") in a series of transactions conducted from 12 July 2017 to 17 July 2017, representing approximately 0.15% of the issued share capital of the Company as at the date of this announcement; and (ii) Rich Top Future Limited ("Rich Top Future") that Rich Top Future had acquired on-market an aggregate of 10,194,000 Shares in a series of transactions conducted from 17 July 2017 to 18 July 2017, representing approximately 0.31% of the issued share capital of the Company as at the date of this announcement (the "Acquisitions").

As at the date hereof, Rich Top Future was beneficially owned by Ms. Zhou and two other shareholders as to approximately 65.45%, 20.84% and 13.71% respectively. Ms. Zhou is a substantial shareholder of the Company, the Chairman of the Company, an executive Director and the beneficial owner of the entire issued share capital of Shenguan Biology which holds 100% interest in Glories Site Limited ("Glories Site"), which in turn, holds approximately 65.45% interest in Rich Top Future which beneficially holds 1,936,434,000 Shares as at the date of this announcement. Shenguan Biology also holds 100% interest in Xian Sheng Limited ("Xian Sheng") which beneficially holds 248,040,000 Shares as at the date of this announcement. As at the date of this announcement, Shenguan Biology beneficially holds 49,462,000 Shares. Therefore, Ms. Zhou is deemed or taken to be, interested in all the Shares which are beneficially owned by Shenguan Biology, Rich Top Future and Xian Sheng for the purpose of the Securities and Futures Ordinance (Cap. 571 of the Laws of Hong Kong). Ms. Zhou is also a director of each of Shenguan Biology, Glories Site, Rich Top Future and Xian Sheng. Ms. Zhou beneficially owns 200,000 Shares. After the Acquisitions and as at the date of this announcement, Ms. Zhou is interested in a total of 2,234,136,000 Shares, representing approximately 68.55% of the issued share capital of the Company.
