References are made to the announcement of SUNDART HOLDINGS LIMITED 承達集 團有限公司 (the "Company") dated 17 May 2017 and the circular of the Company dated 30 June 2017 (the "Circular") in relation to, among other things, the Acquisition, and the announcement of the Company dated 25 July 2017 in relation to the poll results of the EGM and the execution of the Amended Deed. Unless the context requires otherwise, terms used in this announcement shall have the same meanings as those defined in the Circular.

The Board is pleased to announce that all the conditions precedent as set out in the Equity Transfer Agreement have been fulfilled. The Completion took place on 10 August 2017. Following the Completion, (i) the Target Company becomes an indirect wholly-owned subsidiary of the Company; and (ii) the Amended Deed becomes unconditional.
