Annual General Meeting approves dividend of CHF 22.- per Swisscom share

At today's Annual General Meeting of Swisscom Ltd at Zurich's Hallenstadion, the shareholders approved all of the Board of Directors' proposals. The Meeting discharged the members of the Board of Directors and the Group Executive Board for the financial year 2023.

Swisscom Annual General Meeting at the Hallenstadion in Zurich

The 26th Annual General Meeting of Swisscom Ltd took place today at the Hallenstadion in Zurich. 1,187 shareholders represented 73.22 per cent of the voting shares. At the end of December 2023, the number of registered Swisscom shareholders stood at around 76,200.

Swisscom presents strong figures and good market performance

Michael Rechsteiner, Chairman of the Board of Directors, is satisfied with the 2023 financial year: 'Customers are enthusiastic about our products, excellent service and well-developed infrastructure. Our mobile and fixed networks have also won all relevant network tests in 2023. We have also been successful with our cloud and security products for business customers. And our subsidiary Fastweb in Italy has been growing continuously for ten years now. With the purchase of Vodafone Italia, we are further strengthening our business in Italy.'

All of the Board of Directors' proposals approved

Shareholders approved the management report, the consolidated financial statements and the annual financial statements as well as, for the first time, the report on non-financial matters 2023. In addition, they followed the Board of Directors' proposal to set the ordinary dividend at CHF 22.- gross per share, as in the previous year. A net dividend of CHF 14.30 per share will be paid to shareholders on 4 April 2024, after deduction of the federal withholding tax of 35 per cent.

The Meeting discharged the members of the Board of Directors and the Group Executive Board for the financial year 2023. In a consultative vote, the Meeting took note of the remuneration report.

Daniel Münger has joined the Board of Directors

As already announced, Alain Carrupt has decided not to seek re-election. On behalf of Swisscom, the Board of Directors would like to thank Alain Carrupt for his valuable efforts. Daniel Münger was newly elected to the Board of Directors as an employee representative. Daniel Münger has a technical education, has attended various management and business economics courses as part of his job and has undergone further training to become a qualified NPO manager (association and non-profit management). Starting in 1983 he worked for PTT and trained as a telecommunications specialist. Since 1996 he has worked for various employee organisations. From 2016 to 2023 he led the syndicom trade union as its president. In addition, Daniel Münger has a wide range of political experience at the cantonal level. Daniel Münger is a Swiss and Italian citizen.

The one-year term of office of all other members of the Board of Directors expired at the Annual General Meeting. All members of the Board of Directors, the Chairman and the members of the Compensation Committee were individually re-elected by the Annual General Meeting for one year. Federal Representative Fritz Zurbrügg was also confirmed by the Federal Council for a further year.

The Annual General Meeting also approved the total remuneration of the Board of Directors and the Group Executive Board for 2025 and re-elected the independent proxy and the statutory auditor for one year.
