Wendel (ENXTPA:MF) and Societe Investissement Deconinck offered to acquire 49.1% stake in Tarkett S.A. (ENXTPA:TKTT) for approximately €640 million on April 23, 2021. Under the terms, offerors will pay €20 per share. The transaction will be financed by Wendel and the long-term banking partners of Tarkett. For its part, Wendel will be able to hold up to 30% of Tarkett at the end of this transaction. The simplified tender offer will not be subject to any regulatory approvals or any other conditions. An ad hoc committee consisting of independent members, in charge of overseeing the work done by the independent appraiser and making recommendations to Tarkett's Supervisory Board was set up regarding the offer. Tarkett's Supervisory Board unanimously welcomed the offer. French Autorité des Marchés Financiers provided its clearance decision relating to the offer on June 8, 2021. Finexsi, the independent expert has concluded that the offer is fair from a financial point of view. SID and other investors may opt for Squeeze out offer at time of settlement. Offer is expected to be opened at the end of June i.e June 24, 2021 and completed by the end of July that is July 22, 2021. Tarkett Participation intends to implement a squeeze-out at the end of July, at the end of the takeover bid, if it manages to obtain more than 90% of the group's capital. As of June 10, 2021, the offer has commenced. The offer will close on July 9, 2021.

Wendel (ENXTPA:MF) and Societe Investissement Deconinck completed the acquisition of unknown minority stake in Tarkett S.A. (ENXTPA:TKTT) on July 9, 2021. As per terms of transaction, the Bidder holds directly 56.300463 million shares, representing 85.89% of the share capital and 84.98% of the voting rights of Tarkett, and in total 56.548018 million shares representing 86.27% of the share capital and 85.36% of the voting rights of Tarkett, taking into account the 0.247555 million shares held by Tarkett itself and thus held by assimilation by Tarkett Participation.
