S. Win Holdings Limited entered into an agreement to acquire B.O. Tradefinancials Ltd from TechFinancials, Inc. (AIM:TECH) for €0.47 million on November 24, 2017. Under the terms of the deal, S. Win will acquire B.O. Tradefinancials, CySEC License, the OptionFair brand, the Investors Compensation fund of $0.05 million (€0.047 million) and the fixed tangible assets for a purchase price of $0.3 million (€0.28 million) payable upon the closing date of the deal. In addition, S. Win will pay to any surplus net working capital in BOT as at the closing date along with the loan amount owed by BOT to TechFinancials, Inc. which, as of November 24, 2017, is approximately $0.2 million (€0.19 million). In a related transaction, S. Win Holdings Limited entered into an agreement to acquire Marketfinancials Limited from TechFinancials, Inc. Tradefinancials reported revenues of €1.4 million and loss of €0.23 million in the financial year 2016. for the period ended June 30, 2017, Tradefinancials reported net assets of €0.24 million. The transaction is subject to the approval of Cyprus Securities and Exchange Commission. Colin Aaronson, Samantha Harrison and Carolyn Sansom of Grant Thornton UK LLP acted as financial advisor and Patrick Claridge, David Hignell and John Howes of Northland Capital Partners Limited and Lucy Williams and Eran Zucker of Peterhouse Corporate Finance acted as broker to TechFinancials. S. Win Holdings Limited cancelled the acquisition of B.O. Tradefinancials Ltd from TechFinancials, Inc. (AIM:TECH) on February 6, 2018. As of January 31, 2018, S. Win had not secured the relevant regulatory consents for the acquisition of B.O. Tradefinancials and, under the terms of the share purchase agreement, TechFinancials has elected not to proceed with the sale of B.O. Tradefinancials.
