The US Bankruptcy Court gave a final order approving Store Closing Sales of The Bon-Ton Stores, Inc. on March 8, 2018. As per the order, the debtor has been authorized by the Court to get into an agency agreement to conduct store-closing sales for 39 retail stores and 4 clearance center with Hilco Merchant Resources, LLC and Gordon Brothers Retail Partners, LLC as agents. Pursuant to the agency agreement dated January 30, 2018, The Closing Sales commenced on February 1, 2018, and will conclude no later than May 31, 2018. The Parties may mutually agree in writing to extend or terminate the Closing Sale at any Closing Store prior to the Sale Termination Date and Merchant may unilaterally establish an earlier Sale Termination Date on or prior to April 30, 2018, upon 5 business days’ written notice thereof to the Agent. Merchant shall be responsible for all expenses of the Sale, including all Store level operating expenses and all costs and expenses related to Merchant’s other retail store operations and the Budgeted Expenses. Merchant will pay the Agent a Consulting Fee equal to 1.25% of the aggregate Net Proceeds. In addition, to the extent permitted by Court order, the Agent shall sell Consigned Merchandise during the Closing Sales at the Closing Stores, and in consideration of such services, the Agent shall earn a fee equal to the Consulting Fee percentage earned on sales of Merchandise as set forth above multiplied by the aggregate gross receipts, net only of sales taxes, from the sale of Consigned Merchandise at the Closing Stores.
