NOTICE IS HEREBY GIVEN to the holders of the above Notes (the "Noteholders") of the following matters set out below.

THE PACIFIC SECURITIES CO., LTD is a China-based company, principally engaged in securities business. The Company operates its businesses through securities broking, including agency trading of stocks, funds, warrants and bonds; investment banking, including securities underwriting, co-lead underwriting and sub-underwriting of securities, such as new stock issuance, secondary public offering, rationed shares, convertible bonds, funds and bond issuance, among others, as well as securities investment business and asset management business. The Company mainly conducts its businesses within domestic markets.
