Acrodea, Inc. (TSE:3823) signed share exchange contract to acquire Next Security, Inc. from Next IT Inc. and Toshio Nakanishi for approximately ¥100 million on May 13, 2016. One share of Next Security 's stock will be exchanged with 4.9 shares of Acrodea. Acrodea will issue 0.2 million shares as consideration. Next IT and Toshio Nakanishi will sell 50% stake each in Next Security. On completion, Next Security will operate as a wholly-owned subsidiary of Acrodea. Next Security reported net assets of ¥1 million and total assets of ¥1 million as of March 31, 2016. The deal is subject to approval from Next Security shareholders and a shareholder’s meeting of Next Security will be held on June 10, 2016 for the transaction. The deal is expected to close on June 13, 2016. Varick Investment Advisory Inc. acted as a third-party calculation agent for Acrodea, Inc.
