Subject: Notification of the registration of name and seal changed, amendment to Clause 1 (Name of the Company) of the Memorandum of Association and Articles of Association of the Company and registration of capital increase under General Mandate and amendment to Clause 4 of the Memorandum of Association (Capital) of the Company

According to the Extraordinary Shareholders' Meeting No. 1/2022 of TV Direct Public Company Limited, held on June 30, 2022 and had resolved the followings:
Approved to change of the Company's name from "TV Direct Public Company Limited to be "TVD Holdings Public Company Limited", amendment to Clause 1 of the
Memorandum of Association to follow the name changed and approved to change the trading symbol from "TVD" to be "TVDH" and change the seal of the Company to be in compliance with the name change.
Approved to amend Clause 1, 2 and 62 of the Articles of Association of the Company to be in compliance with the change of name and seal of the Company, and
Approved the increase of registered capital under a general mandate in the amount of Baht 256,730,000.50 (513,460,001 ordinary shares with a par value of Baht 0.50 each), from the original registered capital of Baht 967,725,937.50 (1,935,451,875 ordinary shares with a par value of Baht 0.50 each) to the new registered capital of Baht 1,224,455,938 (2,448,911,876 ordinary shares with a par value of Baht 0.50 each). Also, approved the amendment to Clause 4 of the Memorandum of association to be in accordance with the capital increase.
The Company would like to inform that the Company has registered the change of name and seal of the Company as well as amended Clause 1 of the Memorandum of Association and Articles of Association of the Company to be in compliance with the change of name and seal of the Company and has also registered the capital increase and amended Clause 4 of the Memorandum of Association of the Company to the Department of Business Development, Ministry of Commerce on July 18, 2022. Therefore, the change of name and seal of the Company will take effect from July 18, 2022 onwards, having details as follows:
