Brazil's custom -made furniture industry and the only Brazilian company in the sector listed on the stock exchange, hereby announces to its shareholders and the market that it received from shareholders Frank Zietolie ("Frank"), Juvenil Antonio Zietolie ("Juvenil") and Emilia Angela Sareta Zietolie ("Emilia") a declaration of acquisition of material interest by which the shareholders informed the Company of the transfer of direct interest in the Company, from Juvenil and Emilia to their son Frank, through donation of shares held by each of them, totaling 3.9774% of the capital stock of the Company.

Hence, as a result of the above-mentioned donations and transfers:

1. Frank, who directly held five million, nine hundred fifty thousand (5,950,000) registered common shares issued by the Company, representing 9.0034% of the capital stock, now holds eight million, five hundred seventy-eight thousand, five hundred forty-five (8,578,545) registered common shares issued by the Company, representing 12.9808% of the capital stock of the Company;

2. Juvenil, who directly held three million, forty-seven thousand, seventy- eight (3,047,078) registered common shares issued by the Company, representing 4.6107% of the capital stock, now directly holds seven hundred thirty-six thousand, two hundred ninety-four (736,294) registered common shares issued by the Company, representing 1.1141% of the capital stock of the Company; and

3. Emilia, who directly held three hundred seventeen thousand, seven hundred sixty-one (317,761) registered common shares issued by the Company, representing 0.4808% of the capital stock of the Company, no longer holds any direct interest in the Company.

As a result of the above-mentioned transfers of shareholding interest, a private First Amendment to the Company's Shareholders' Agreement was signed by its signatories and filed on this date at the registered office of the Company, to formalize (a) the above- mentioned transfers of shares between Juvenil, Emilia and Frank, as well as (b) the exit of Emilia and Juvenil, as well as Nely Rosa Celso Schenatto, who jointly hold 1.8341% of the capital stock of the Company, as signatories of the Shareholders' Agreement, after ratifying and fully maintaining all the terms and conditions originally established, as informed in the material fact notice published on this date.

As informed by the shareholders to the Company, the transfers of shareholding interest and the First Amendment to the Shareholders' Agreement do not alter (nor do they intend to alter) the control or management structure of the Company, which is still held by the other signatories, who directly hold 55.6026% of the capital stock of the Company, with no shares intended to be acquired/sold at this time, convertible debentures, subscription warrants, share subscription rights, stock options of the Company held by shareholders.
