EXTRACT FROM THE MINUTES OF THE EXTRAORDINARY MEETING

OF THE BOARD OF DIRECTORS

The Board of Directors ("BoD") met on March 8, 2024, from 1 p.m. to 9 p.m., by videoconference, with the presence of the members of the Board of Directors Daniel André Stieler - Chairman, Marcelo Gasparino da Silva - Vice-Chairman, André Viana Madeira, Douglas James Upton, Fernando Jorge Buso Gomes, João Luiz Fukunaga, José Luciano Duarte Penido, Luis Henrique Cals de Beauclair Guimarães, Manuel Lino Silva de Sousa Oliveira, Paulo Cesar Hartung Gomes, Shunji Komai, Rachel de Oliveira Maia and Vera Marie Inkster. Luiz Gustavo Gouvêa, Corporate Governance Director of Vale S.A. ("Vale") was the secretary of the meeting. Therefore, the Board of Directors deliberated on the following matter: "CEO MANDATE - (...). The Board of Directors approved, by majority, (i) the opening of the succession process of Vale's CEO, in line with the corporate policy that deals with succession and observing the terms, premises and points contained in the proposal presented; (ii) to extend the term of the contract and the consequent re-election of Mr. EDUARDO DE SALLES BARTOLOMEO, Brazilian, married, engineer, holder of IFP/RJ identity card No. 053253845, registered with the CPF/MF under No. 845.567.307-91, as President of Vale. The re-elected President, who will serve from 05/26/2024 to 12/31/2024, declared to be totally unimpeded to exercise his functions under the terms of article 147 of Law No. 6,404/76; and (iii) the hiring of Mr. Eduardo Bartolomeo as Vale's service provider, in the period from 01/01/2025 to 12/31/2025, with the objective of supporting the transition to the new leadership, provided that the terms of the hiring should be defined in due course by the Board of Directors." I attest that the above resolution reflects the decision taken by the Board of
