VizConnect LLC signed an agreement to acquire VB Clothing Inc. (OTCBB:VBCO) from Paul Cooleen, Brian Dee, James Henderson, Gregg E. Jaclin and other investors in a reverse merger transaction on February 13, 2013. VizConnect will acquire 6.25 million shares of VB Clothing, constituting 61.46% of outstanding capital of VB Clothing. In connection with the acquisition, 10 million shares of B held by Anthony Pasquale have been cancelled. Additionally, the existing officers and Directors from VB Clothing resigned from its Board of Directors. VB Clothing will appoint Paul Cooleen is appointed as President and Director, Brian Dee as the Secretary and Director, James Henderson as Treasurer and Director and Edward Carroll as Director after the acquisition. The transaction is subject to due diligence, executed letters of resignation from all of the Directors and officers of VB Clothing. The transaction has been approved by VizConnect's Directors and B's Members. Gregg E. Jaclin of Anslow & Jaclin, LLP acted as legal advisor for VizConnect.
