Bernard Krief Consultants SA signed an agreement to acquire 96.7% stake in Fauvet-Girel from Spaclo SA and members of the founding family for €8.1 million.

Bernard Krief Consultants SA (ENXTPA:MLKRI) signed an agreement to acquire 96.7% stake in Fauvet-Girel (ENXTPA:FAUV) from Spaclo SA and members of the founding family for €8.1 million on June 19, 2018. Under the transaction, Bernard Krief Consultants SA will acquire 0.24 million shares of Fauvet-Girel at €33.27 per share. In a related transaction, Bernard Krief Consultants SA announced a take-over bid for the remaining stake in Fauvet-Girel at €33.27 per share.

The definitive conclusion of the transaction is conditioned by the fulfillment of various conditions precedent, in particular by the sale of the wagons owned by Fauvet-Girel. Bernard Krief Consultants SA does not intend to request the implementation of a squeeze-out following the transaction.
