FURTHER DELAY IN DESPATCH OF CIRCULAR

References are made to the announcements of Yunnan Water Investment Co., Limited* (the "Company") dated 31 December 2020 and 10 February 2021 in respect of, among other things

1. the very substantial disposal and connected transaction in relation to the deemed disposal of 23.958% equity interest in the Target Company by the Company; and (ii) the delay in despatch of circular (collectively, the "Announcements"). Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings as defined in the Announcements.

As disclosed in the Announcements, a circular (the "Circular") containing, among other things,

1. further details of the Second Capital Injection Agreement, the Supplemental Agreement and the transactions contemplated thereunder; (ii) a letter of recommendation from the Independent Board Committee to the Independent Shareholders; (iii) a letter of advice from the Independent Financial Adviser to the Independent Board Committee and the Independent Shareholders; (iv) other information as required under the Listing Rules; and (v) a notice convening the EGM, was expected to be despatched to the Shareholders on or before 23 April 2021.

As additional time is required for the Company to prepare and finalise the financial information to be included in the Circular, it is currently expected that the date of despatch of the Circular will be postponed to a date falling on or before 24 June 2021.
