outsourced payroll and HR services, today announces that the Board of Directors
has resolved to initiate a strategic review process.

The purpose of the strategic review is to evaluate structures and opportunities
that could accelerate the company's growth and further enhance customer and
shareholder value. 

ABG Sundal Collier has been appointed as financial advisor.

Zalaris has for several years successfully accelerated the growth of the
portfolio of large agreements for global payroll and HR services to leading
international enterprises. The company delivered a growth of 27% in 2023 and the
year-end annualized revenue exceeded NOK 1.2 billion, with a majority of
recurring revenue. 

There can be no certainty whether or when any initiative, event, or transaction
will materialize.
