Nantong Fuhang Industrial Co., Ltd. signed the share purchase agreement to acquire 67% stake in Jiangsu Datong Fun Co., Ltd. from Zhejiang Dun'an Artificial Environment Co., Ltd (SZSE:002011) for CNY 5.23 million on November 24, 2020. In the acquisition, Nantong Fuhang Industrial Co., Ltd. will acquire 74.9% stake in Nantong Dart-Rich Fan Co., Ltd. After the acquisition, Zhejiang Dun'an Artificial Environment Co., Ltd will not hold any stake in Jiangsu Datong Fun Co., Ltd. and Nantong Fuhang Industrial Co., Ltd. will hold 67% stake in Jiangsu Datong Fun Co., Ltd. and 100% in Nantong Dart-Rich Fan Co., Ltd. As of May 31, 2020, Jiangsu Datong Fun Co., Ltd. recorded total assets of CNY 56.07 million, net assets of CNY 22.53 million. As of December 31, 2019, Jiangsu Datong Fun Co., Ltd. recorded total assets of CNY 60.89 million, net assets of CNY 14.56 million, revenue of CNY 1.19 million, operating loss of CNY 3.72 million and net loss CNY 3.72 million.
Zhejiang DunAn Artificial Environment Co Ltd is a China-based company mainly engaged in the research and development, production and sales of refrigeration components, refrigeration and air-conditioning equipment and automotive thermal management. The main products of the refrigeration accessories business include electronic expansion valves, four-way valves, globe valves, solenoid valves, small pressure vessels, heat exchangers and integrated pipeline components. The main products of the commercial refrigeration and air-conditioning equipment business include commercial chillers, air-conditioning terminals, nuclear power, rail transit, communication, cold chain and other special air-conditioning system units.
