Announcement Regarding Revision to the "Comprehensive Strategic Business Alliance" with Mizuho Bank

Credit Saison resolved in its board meeting held on January 26, 2017 that it would enter into the "Agreement on Revision to the Basic Agreement for Comprehensive Strategic Business Alliance" (hereinafter referred to as "Revision Agreement") with Mizuho Bank, Ltd. (President & CEO: Nobuhide Hayashi, hereinafter referred to as "Mizuho Bank"), UC Card Co., Ltd. (President & CEO: Nobuaki Kitajima, hereinafter referred to as "UC Card") and Qubitous Co., Ltd. (President & CEO: Haruhisa Kaneko, hereinafter referred to as "Qubitous") in relation to the "Comprehensive Strategic Business Alliance Agreement" dated December 24, 2004, and announced that it signed the Revision Agreement effective today.

  1. Objective for the Revision to Comprehensive Business Partnership

    An objective of the revision is to review the comprehensive Strategic Business Alliance constructively and in a manner that meets the environmental changes in the credit card industry, so that each party in the agreement can increase its competitiveness and expand its business.

  2. Agreements in Relation to the Revision to Comprehensive Strategic Business Alliance

    The Comprehensive Strategic Business Alliance Agreement and other relevant agreements defined the "specialization and alliance type business model*" as the basic business model, but after the revision,

    the business model is transformed to the one that allows both Credit Saison, the party in charge of business for the card members, and UC Card, the party in charge of business for the affiliated stores, to operate both the card-member business and affiliated-store business on their own in a comprehensive manner.

    * In this business model, Credit Saison, UC Card and Qubitous respectively specialized in the card-member business,

    affiliated-store business and transaction processing business, in order that each of them could conduct its business operation in the credit card market in collaboration with one another.

    Credit Saison will continue to conduct various business operations in various fields, including the following business operations, in collaboration with Mizuho Bank under a friendly partner relationship as before.

    1. Issuance of Mizuho Mileage Club Card , joint business by Credit Saison and Mizuho Bank

    2. Operation of transaction processing business through Qubitous, a processing company jointly established by Credit Saison and Mizuho Bank, as well as development of the next-generation associated system

    3. Outlook for Business Performance

      4. It is expected that the above revision of the agreement will not affect Credit Saison's consolidated and non-consolidated business performance during the current term.
