MATERIAL FACT
INTERNATIONAL MEAL COMPANY HOLDINGS S.A. (BM&FBovespa: IMCH3) ("Company"), pursuant to article 157, paragraph 4 of Law 6404, of December 15, 1976, Instruction 358 of the Brazilian Securities and Exchange Commission ("CVM"), of January 3, 2002 ("ICVM358"), and Official Letter BM&FBOVESPA S.A./GAE 1.942-13 ("Official Letter"), hereby informs its shareholders and the market in general that:
On this date, through its subsidiary RA Catering, it has signed a contract with the new concessionaires of the Guarulhos and Viracopos airports to expand its operations in the new terminals that are being built at these locations.
The contract signed with GRU Airport, the operator of the Guarulhos International Airport, will give IMC the right to install nine new stores in the newly built terminal 3, which will handle most of the international flights. The contract will last for 10 years from the opening of the terminal. Following the completion of the terminal and the opening of the new stores, IMC will be responsible for operating 34 food stores in Brazil's largest airport.
The contract with Consórcio Brasil Viracopos includes four new stores at the Campinas International Airport, leaving IMC with a total of five stores once the renovations have been completed. The contract will last for 10 years from the delivery of the new locations.

We achieved positive outcomes in all of our negotiations with the new private Brazilian airports and I couldn't be prouder of the work carried out by our team. As we have said before, the airports segment will be the main driver of IMC's growth in the coming years and the contracts signed today, together with those announced in November, provide clear evidence of this" said IMC CEO Javier Gavilán.
In total, IMC expanded its capacity by 11 stores at the Guarulhos International Airport, 11 stores at the Brasília International Airport, four stores at the Viracopos International Airport and also extending all of the existing contracts, both for food stores and the catering business.
The new contracts will include an upfront payment and charge a minimum rent plus a percentage of the sales for each store. Given the strategic nature of these transactions, IMC reserves the right to abstain from disclosing the amounts involved.
