CEN Biotech, Inc. (OTCPK:CENB.F) entered into a Share Exchange Agreement to acquire Clear Com Media Inc. from Lawrence Lehoux, Kellie Coulter, Chelsea Lehoux, Joanne Lehoux and Joshua Lehoux for $5 million on April 20, 2021. Pursuant to the Agreement, the company agreed to acquire from the CCM Shareholders, all of the common shares of CCM, which is 10,000 shares of CCM common shares in exchange for the issuance by the company to the CCM Shareholders of 4 million restricted shares of the company’s common stock, no par value per share. CCM will become a wholly owned subsidiary of CEN Biotech. The Agreement can also be terminated by the parties thereto if certain closing conditions specified therein are not met by August 31, 2021. Pursuant to the Agreement, it is planned that Larry Lehoux will be appointed as the CEN Biotech's Chief Technology Officer and a member of CEN Biotech's board of directors. At closing, CCM agreed to expand the size of the CCM Board of Directors by three persons, to be a total of five persons, and to name Bahige Chaaban, Brian Payne and Ameen Ferris as directors on the CCM Board of Directors. For the year ended December 31, 2020, CCM reported total assets of $876,814, total shareholder's equity of $236,368, total revenue of $1,665,563, income from operations of $218,678 and net income of $380,026. The completion of the Exchange is subject to certain customary closing conditions, including, but not limited to, that CCM will have provided to the CEN Biotech CCM’s and its subsidiaries, audited and unaudited financial statements as required to be included in the company’s filings with the Securities and Exchange Commission. Another closing condition is that the CEN Biotech will have completed its due diligence investigation of CCM to the CEN Biotech’s satisfaction in its sole discretion.
