(1)The Company's 2021 shareholders meeting authorized the Board of
Directors to introduce strategic investors depending on market conditions
or the Company's operating needs, choosing one or a combination of the
methods of private placement to issue new common shares for cash capital
increase or domestic unsecured convertible bonds.
(2)According to Article 43 6 of the Security and Exchange Act, the private
placement should be conducted within one year after being approved by the
shareholders meeting.However,considering the impending expiration of the
processing period and the current economic situation, it is proposed to
submit to the Board of Directors for approval that the private placement
which would not be continued at the end of the period, and to submit the
report for the 2022 shareholders meeting.
