The Siam Cement Public Company Limited (or "SCC") disclose on October 20, 2022 to the Stock Exchange of Thailand regarding EV Battery Value Chain Joint Venture with Denka Company Limited (or "Denka") by SCG Chemicals Public Company Limited (or " SCGC"), a wholly owned subsidiary of SCC, has entered into a joint-venture agreement with Denka of Japan to establish a joint-venture company and produce and sale of acetylene black ("Acetylene Black"), a conductive material used in EV lithium-ion batteries and high- voltage power transmission cables of offshore wind farm and other related applications. Denka held a 60% stake while SCGC held remaining 40% in a joint-venture respectively. SCC hereby announces that the joint-venture has been successfully established under the name Denka SCGC Advanced Materials Co.

Ltd. with registered capital of 7,258.56 million THB (or approximately 200 million USD) located in Rayong province, Thailand with the production capacity of approximately 11,000 tons per annum. The facility is expected to complete within the first half of 2026. The total investment is approximately 14,800 million THB (or approximately 400 million USD).

This joint venture is aimed to capture the strong growth of lithium- ion batteries for the EV market. It further aligns with SCGC' s strategy to elevate its High Value-Added product to meet sustainable business practices, mitigate global warming and strive towards becoming a net zero carbon emission organization. This investment is considered an asset acquisition transaction.

The size of this transaction is 0. 31 of total assets stated in SCC consolidated financial statements as of June 30, 2023, and when combined with those in the past six months prior to the date of this transaction, the total size is 1.12. Thus, the disclosure of this transaction is not required pursuant to disclosure rule for the acquisition and disposition of assets.
