Core business
The issuer, originally operating under the name CodeArch S.A., was established in 2010. On 9 April 2015, the EGM of CodeArch S.A. passed a resolution changing the company's name from CodeArch S.A. to TENDERHUT S.A. The name change was registered in the National Court Register on 6 May 2015.
The TENDERHUT Group is a group of technology companies which provide software development services and solutions for domestic and international customers and develop digital products. The Issuer is the holding company of the Group and primarily performs corporate functions related to management, administration, centralised consulting, financial, HR, PR and marketing services for its related companies.
The Management Board of the Issuer identifies the following business segments:

• Software Development & Cybersec,
• Digital Design & Marketing,
• Lab Systems,
• Venture Building,
• Holding Services.

The Software Development & Cybersec segment includes IT services addressed to a broad range of customers in industries such as technology, finance and insurance, research and development, education, the healthcare sector (excluding the laboratory industry). The following Group companies operate within this segment: SoftwareHut sp. z o.o. (IT systems), Evertop sp. z o.o. (software development), SoftwareHut LLC, SoftwareHut Nordic ApS, Brainhint sp. z o.o., Kiss Digital sp. z o.o., ProtectHut sp. z o.o. (cyber security).
The Digital & Marketing segment focuses on product design, research and testing of digital products, as well as communication and branding strategy building, digital marketing, marketing automation, and services in the area of social media. It includes services such as internet marketing, online advertising campaigns, website positioning, content marketing and digital marketing. This segment primarily includes services provided by Kiss Communications sp. z o.o. and ExtraHut sp. z o.o.
The Lab Systems segment has been separated due to its specialised IT services aimed at specific customers: the laboratory industry. The services include the delivery, implementation and personalisation of laboratory systems developed by third parties. The following Group companies operate within this segment: Solution4Labs sp. z o.o. and SolutionForLabs Guangzhou Limited, Holo4Labs sp. z o.o. and Holo4Med S.A.
The Venture Building segment includes IT solutions which have become or have the potential to become separate businesses. In the Venture Building sector, the Group develops startups. The most mature of these are Zonifero S.A., Holo4Labs sp. z o.o., Holo4Med S.A., Grow Uperion S.A. and Stockambit S.A. (crowdfunding platform).
Holding Services is a segment offering management, financial and administrative services, lease of office space and computer and office equipment together with access to common areas and welfare facilities. This segment includes the following companies: TenderHut S.A. and LegalHut sp. z o.o.

The Company's share capital amounts to PLN 204,567.10 and is divided into 2,045,671 shares with a nominal value of PLN 0.10 each, including:

• 750,000 series A1 ordinary bearer shares,
• 1,010,509 series B1 ordinary bearer shares,
• 3,342 series C1 ordinary bearer shares,
• 47,526 series C2 ordinary bearer shares,
• 134,026 series D1 ordinary bearer shares,
• 60,000 series E1 ordinary bearer shares,
• 27,268 series F1 ordinary bearer shares,
• 13,000 series G1 ordinary bearer shares.

Series B1 and C1 shares were introduced to trading on NewConnect in April 2021, series D1 shares in April 2022, series C2 and E1 shares in August 2022.
