Global Blockchain Technologies Corp. (CNSX:BLOC) announced the spin-off of Enterprise and Exchange Division on October 11, 2018. As part of transaction, all assets belonging to Global Blockchain Technologies’ exchange and enterprise divisions will be spun out into a separate company and will be run by Global Blockchain Technologies’ current management and operational team. The Global Blockchain Technologies assets to be spun out include; all rights, work product, and assets related to the development of Laser blockchain, Singularity digital asset and forex exchange, business and technology development of Stratus and any Middle Eastern Cryptocurrency Spot Exchange; agreement and project building ongoing with HPE, Quisitive investment; all holdings of Laser Technologies Corp.; Blockchain Technologies DMCC and investment in Hyperion Crypto Exchange Inc. The spinout will also receive CAD 2 million of Global Blockchain Technologies’ cash holdings. In a related transaction, Global Blockchain Technologies Corp. (CNSX:BLOC) agreed to acquire X2 Games Corp. for CAD 49.6 million on October 11, 2018. In another related transaction, Global Blockchain Technologies Corp. (CNSX:BLOC) agreed to acquire 25% interest in DISCO for CAD 1.5 million on October 11, 2018. Global Blockchain Technologies’ shareholders as of the November 1, 2018 record date will be entitled to the spinout. As of November 1, 2018, the distribution record date has been deferred pending the finalization of a definitive closing date that will result in the acquisition of X2 Games Corp. by Global Blockchain Technologies. A new record date will be set upon completion of definitive documentation and obtaining requisite approvals for the acquisition of X2 Games Corp.
