Global Blockchain Technologies Corp. (CNSX:BLOC) entered into a letter of intent to acquire X2 Games Corp. for $28 million on October 2, 2018. Global Blockchain Technologies Corp. (CNSX:BLOC) entered into a definitive agreement to acquire X2 Games Corp. on December 3, 2018. Under the terms, Global Blockchain will issue its 330 million shares as consideration. The transaction will be carried out by way of thee cornered amalgamation where 1183493 B.C. LTD, wholly owned subsidiary of Global Blockchain Technologies, and X2 Games will amalgamate and form one corporation. In a related transaction, Global Blockchain agreed to acquire 25% interest in DISCO and spin-off of its Enterprise and Exchange Division. As of November 1, 2018, BLOC and X2, as well as their respective professional advisors, are completing definitive documentation and obtaining requisite approvals for the transaction. The transaction is subject to approval of regulatory board, X2 Games Corp. shareholders, Global Blockchain Technologies shareholder and other approvals, and the satisfaction or waiver of all conditions. The board of directors of X2 Games has unanimously recommended that X2 Games Shareholders vote in favour of the resolution to approve the Transaction, which will be the subject of the X2 Games Meeting expected to be held in the fourth quarter of 2018. The transaction is expected to close in the fourth quarter of 2018. The transaction is expected to close on December 21, 2018.
