Notice of Resolutions of the FY2023 Annual General Shareholders Meeting

Matters that were reported and resolved at the Annual General Shareholders Meeting for the year ended December 31, 2023, convened on March 21, 2024, were as follows.

(Matters for reporting)

1. Business Report, Consolidated Financial Statements, and Financial Statements for the year ended December 31, 2023 (January 1, 2023, to December 31, 2023)
2. Results of audits by the Independent Auditor and the Audit & Supervisory Board of the Consolidated Financial Statements.
   The particulars of the above were reported.

(Matters for approval) Proposal

1. Appointment of 5 Directors (excluding Directors who are Audit and Supervisory Committee Members) This proposal was approved and adopted as proposed. Messrs. Masatoshi Kumagai, Masashi Yasuda, Hiroyuki Nishiyama, Issei Ainoura and Tadashi Ito were elected as Directors and each of them assumed the office.

At the meeting of the Board of Directors held after the Annual General Shareholders Meeting, Mr. Masatoshi Kumagai was elected as Founder, Chairman and Group CEO and assumed the office.

2. Appointment of 3 Directors who are Audit and Supervisory Committee Members

This proposal was approved and adopted as proposed. Messrs. Keigo Ogura, Takashi Gunjikake, and Kaname Masuda, were elected as a Directors who are Audit and Supervisory Committee Members. Messrs. Keigo Ogura, Takashi Gunjikake, and Kaname Masuda are External Directors.
