Certain Options of Kiora Pharmaceuticals, Inc. are subject to a Lock-Up Agreement Ending on 1-SEP-2023. These Options will be under lockup for 91 days starting from 2-JUN-2023 to 1-SEP-2023.

The Company's officers, directors, each of their respective affiliates and associated partners have agreed with the underwriters to be subject to a lock-up period of 90 days following the date of this prospectus. This means that, during the applicable lock-up period, such persons may not offer for sale, contract to sell, sell, distribute, grant any option, right or warrant to purchase, pledge, hypothecate or otherwise dispose of, directly or indirectly, any shares of common stock or any securities convertible into, or exercisable or exchangeable for, shares of common stock. Certain limited transfers are permitted during the lock-up period if the transferee agrees to these lock-up restrictions. The company has also agreed, in the underwriting agreement, to similar lock-up restrictions on the issuance and sale of securities for 90 days following the closing of this offering, although company will be permitted to issue stock options or stock awards to directors, officers and employees under existing plans. Ladenburg Thalmann & Co. Inc. may, in their sole discretion and without notice, waive the terms of any of these lock-up agreements.
Kiora Pharmaceuticals, Inc. is a clinical-stage pharmaceutical company. The Company is focused on developing and commercializing therapies for the treatment of orphan retinal diseases. Its pipeline consists of three product candidates, including KIO-301, KIO-104, KIO-101 and KIO-201. Its lead product, KIO-301, is a vision-restoring small molecule that is designed to restore vision in patients with inherited and age-related degenerative retinal diseases, including retinitis pigmentosa (RP). KIO-104 is a next generation, non-steroidal, immuno-modulatory, small-molecule inhibitor of Dihydroorotate Dehydrogenase (DHODH), which is being develop for the treatment of Posterior Non-Infectious Uveitis, a rare T cell-mediated, intraocular inflammatory disease. KIO-101 focuses on treating the ocular manifestation of patients with autoimmune diseases, including rheumatoid arthritis, and as such is termed the Ocular Presentation of Rheumatoid Arthritis and Other Autoimmune Diseases (OPRA+).
