Medical Innovation Holdings, Inc. (OTCPK:MIHI) signed a letter of intent to acquire Renaissance Health Publishing LLC from Sue Celi & Associates, LLC, LLI & Associates, Inc., Jeff Hollander, Michael London and James DiGeorgia, as Trustee of the James DiGeorgia Trust for $3.5 million on January 13, 2017. Medical Innovation Holdings, Inc. (OTCPK:MIHI) entered into asset purchase agreement to acquire 100% of the assets of Renaissance Health Publishing LLC from Sue Celi & Associates, LLC, LLI & Associates, Inc., Jeff Hollander, Michael London and James DiGeorgia, as Trustee of the James DiGeorgia Trust for $3.5 million on June 27, 2017. As per terms of agreement, Medical Innovation Holdings, Inc. agreed to pay $1 million in cash and an amount equal to four times of EBITDA for 12 month period ending on last day of calendar month preceding the month in which the audit is completed plus the value of sellers fully paid inventory of supplements minus closing date payment. The formula payment shall be payable pursuant to convertible promissory note and obligations of buyer shall be secured by security agreement. Medical Innovation Holdings will assume certain liabilities of the sellers. The agreement may be terminated at any time prior to closing by mutual consent of Medical Innovation Holdings, Inc. and Renaissance Health Publishing LLC and if formula payment amount is determined to be less than $1.5 million. The sellers received a Civil Investigative Demand from the U.S. Federal Trade Commission for the transaction. The deal was approved by Board of Directors of Medical Innovation Holdings, Inc. and all members of Renaissance Health Publishing LLC. The transaction is subject to third party consents, execution of security agreements and FTC approval. (OTCPK:MIHI) cancelled the acquisition of 100% of the assets of Renaissance Health Publishing LLC from Sue Celi & Associates, LLC, LLI & Associates, Inc., Jeff Hollander, Michael London and James DiGeorgia, as Trustee of the James DiGeorgia Trust on July 9, 2018. The transaction was subject to MIHI raising sufficient capital for the transaction which was not completed.
