AP67 Co., Ltd entered into an agreement to acquire DENTAL Holding Corp. from Noritsu Koki Co., Ltd. (TSE:7744) on August 3, 2020. As part of transaction, 0.18 million shares of DENTAL Holding will be acquired. In a related deal, Noritsu Koki Co., Ltd. (TSE:7744) agreed to sell HALMEK Holdings Co., Ltd. The combined transfer price for all subsidiaries is ¥10.5 billion. For the period ending March 31, 2020, DENTAL Holding reported total common equity of ¥2,273 million, ¥3,382 million of total assets, operating and net income of ¥12 million each. The deal is approved by Board of Directors of Noritsu Koki Co., Ltd. on August 3, 2020. Transaction is expected to close on September 1, 2020.
Noritsu Koki Co., Ltd. is a company principally engaged in the manufacturing business, healthcare business and other businesses. The Company operates in six business segments. The Manufacturing segment is engaged in the research, development and manufacture of pen nib parts and cosmetics materials, among others.
