N3 North America, LLC acquired Certain Assets of Global Commerce Services Business from Rainmaker Systems Inc. (OTCPK:RMKR) for $1.5 million on October 15, 2014. Under the terms, the purchase price includes $1 million to be paid in cash of which $0.05 million will be paid to the escrow agent at closing, a promissory note in the principal amount of $0.49 million payable in three installments over 180 days and certain liabilities to be assumed by N3 North America under the assumed customer contracts and subcontracts. Douglas P. Krevolin of Krevolin & Horst, LLC acted as legal advisor to N3 North America. David Dedyo of Perkins Coie LLP acted as legal advisor to Rainmaker Systems. Krevolin & Horst LLC acted as an escrow agent.
