Certain Common Stock of Retty Inc. are subject to a Lock-Up Agreement Ending on 27-APR-2021. These Common Stock will be under lockup for 179 days starting from 30-OCT-2020 to 27-APR-2021.

In connection with the offer and the sale by the underwriter, Kazuya Takeda, the seller, lender and shareholder, Tetsuya Natsuka, Kenta Okuda and Tomoaki Uchino, sellers, lenders and shareholders, and the shareholders of the Company, YJ No. 2 Investment Limited Partnership, Neo Career Co., Ltd. and Masato Taruishi have agreed not to carry out the sale of the Company's common stock, etc. (however, the sale by the underwriter's purchase transaction, the sale by over-allotment) (excluding certain reasons such as lending our common stock) from the date of conclusion of the original underwriting contract to the 180th day (including the day) after the listing date (April 27, 2021) (hereinafter referred to as the "lock-up period"), without the prior written consent of the co-leading company.

The fun relationship management (FRM) service is a subscription business model in which a fixed monthly service fee income is earned from contracted restaurants. It provides online sales promotion services, advertising services and customer management systems. The advertising content services consist of advertising solutions that send Retty users to customers through tie-ups, ad technology and alliances, as well as content solutions that accumulate and provide content to cosmetics, apparel, travel, real estate and other industries.
