SALUS, Ljubljana, d. d. (LJSE:SALR) signed an agreement to acquire Meditrade, Podjetje Za Zunanjo In Notranjo Trgovino D.o.o. for €7.97 million on January 3, 2023. Salus will pay a purchase price of €7.16 million plus additional €810,000 in three equal instalments in 2024, 2025 and 2026, depending on the fulfillment of certain conditions related to Meditrade's operations. Under the terms of the contract, the seller will have the opportunity to acquire up to 1,000 newly issued shares of Salus after the fulfillment of the transaction.
The contract includes certain suspensive conditions, including the consent of the competent authorities for the protection of competition and the buyer's general shareholders' meeting.
Salus Ljubljana dd is a Slovenia-based company engaged in the wholesale and distribution of medical products. The Companyâs portfolio includes pharmaceuticals, medical devices, medical supplies, food supplements, cosmetic products and other health products. The Company's core clients are pharmacies, hospitals and health centers from both Slovenia and abroad. Moreover, Salus Ljubljana dd offers the products to its business partners through the Internet store. The Company also provides additional services related to the registration of medicines and the distribution and storage of pharmaceuticals and other medical products.
