Secuoya Grupo de Comunicación, S.L. (CATS:SEC) announced a private placement of shares for gross proceeds of 16,000,000 on September 27, 2012. The shares will be subscribed by new investors, N+1 Private Equity Fund II and Dinamia Capital Privado S.A., SCR, funds managed by Nmás1 Capital Privado, SGECR, S.A. On closing of the transaction, the investor will be the majority shareholder with 55% stake in the company. Rafael Gómez de Iturriaga from Sabadell Corporate Finance will act as the sole corporate financial advisor and Linklaters will act as the legal advisor to the investor. Deloitte Abogados y Asesores Tributarios SL will provide financial due diligence and will act as the tax advisors to the investor. Deloitte Abogados Sl. will act as the legal advisor to the company. José María Irisarri, Ignacio Soto, Daniel Rubio, and Nicolás Bergareche also advised the company and will join the company as professionals. The transaction is expected to close in October 2012.
On October 31, 2012, Secuoya Grupo de Comunicación, S.L. closed the transaction. Dinamia Capital Privado S.A., SCR acquired 13.75% and N+1 Private Equity Fund II acquired 41.25% for the investor. GVC Gaesco acted as the registered advisor of Mercado Alternativo Bursátil.
