WeedWeb, Inc. signed an agreement and plan of merger Kore Resources, Inc. (OTCBB:KORX) in a reverse merger transaction on June 19, 2014. In accordance with the terms of the exchange agreement, 110 million shares of Kore Resources were issued and $0.050 million in cash was paid to the holders of WeedWeb's common stock in exchange for their shares of WeedWeb. On the closing of the exchange, Young Yu Yi submitted his resignation as a member of Kore Resources Board of Directors. On the same day, Kore Resources Board of Directors appointed Matthew Killeen and Mary Kathryn Tantum as members of the Board of Directors. The appointment of Killeen and Tantum became effective immediately. Upon the closing of the Exchange, Yi resigned as President, Chief Executive Officer and Chief Financial Officer of Kore Resources. Woo Jong Yoo resigned as the Secretary. Killeen was appointed as Chief Executive Officer and President, Tantum was appointed Vice President. The name of the surviving public company would change to WeedWeb, Inc. The deal was approved by the shareholders of Kore Resources. WeedWeb, Inc. completed the acquisition of Kore Resources, Inc. (OTCBB:KORX) in a reverse merger transaction on June 30, 2014.
