Unirita Inc. (JASDAQ:3800) agreed to acquire the remaining 40.97% stake in Data Research Institute from Masaaki Tsubaki, K.K. Ashisuto, and other sellers for ¥79.2 million in stock on August 6, 2015. Under the terms, 67 shares of Unirita will be issued for each share of Data Research Institute. Masaaki Tsubaki will sell 10.07% stake and K.K. Ashisuto will sell 8.96% stake. Unirita Inc. will operate Data Research Institute as its wholly owned subsidiary. For period ended March 2015, Data Research Institute recorded net asset of ¥137 million, total asset of ¥292 million, revenue of ¥404 million, operating loss of ¥15 million, and net loss of ¥17 million. Unirita’s shareholders meeting for approval of acquisition of Data Research Institute is scheduled on September 18, 2015. Board of Unirita approved the transaction. The transaction is expected to close on September 29, 2015.
