Zenith Minerals Limited Provides Information to the Shareholders

On March 1, 2024, Zenith Minerals Limited announced that it has prepared the attached notice of general meeting and explanatory statement in response to a request from a group of shareholders, under section 249D of the Corporations Act 2001 for the removal of a board member Michael Clifford, the Company?s Managing Director. The Board supports Clifford and does not believe the removal of Clifford as a director is in the best interests of the Company as a whole. Accordingly, the Board of the Company does not consider that the resolutions are in the best interests of the Company or shareholders and recommends that the shareholders to vote against all resolutions.

The Company stated that a general meeting of shareholders of the Company will be held on April 2, 2024.

Zenith Minerals Limited is a mineral exploration company. The Company is focused on the discovery and advancement of battery metals resource projects, primarily lithium. The Company also has a portfolio of gold and base metal deposits located in Western Australia and Queensland. Its projects are Split Rocks project, Waratah Well project, Red Mountain Gold project, Hayes Hill Lithium-Nickel project, Earaheedy Zinc project, and Develin Creek Copper-Zinc-Silver project. The Split Rocks Project is located in the Southern Cross region in the Forrestania greenstone belt situated between Perth and Kalgoorlie. The Waratah Well project is located approximately 20 kilometers (km) northwest of the regional town of Yalgoo in the Murchison Region of Western Australia. The Red Mountain Gold Project is located 390 km northwest of Brisbane in central Queensland. The Hayes Hill Lithium-Nickel Project consists of two granted exploration licenses and three exploration license applications.
