The board of directors of China Merchants China Direct Investments Limited announced that Mr. LIU Baojie has resigned as Independent Non-executive Director and member of the Audit Committee of the Company with effect from 2 December 2022 due to other business commitment. Mr. LIU has confirmed that he has no disagreement with the Board and there is no matter relating to his resignation that need to be brought to the attention of the shareholders of the Company. APPOINTMENT OF DIRECTOR AND BOARD COMMITTEE MEMBER: The Board further announced that with effect from 2 December 2022, Mr. ZHU Qi has been appointed as Independent Non-executive Director and member of the Audit Committee of the Company.

The biographical details of Mr. ZHU are as follows: Mr. ZHU, aged 62, has extensive experience in the banking and finance industry. He joined CMB Wing Lung Bank in September 2008, where he served as the Chief Executive Officer and Executive Director from September 2008 to June 2019 and the Chairman and Executive Director from October 2019 to January 2022. He was also a Vice President of China Merchants Bank from September 2008 to February 2019.

In addition, he served as the Chairman and a Director of CMB International Capital Corporation Limited from July 2009 to July 2012 and from January 2016 to January 2022, respectively. Prior to this, Mr. ZHU joined Industrial and Commercial Bank of China in August 1986. He successively served as the Deputy General Manager, General Manager of Hong Kong Branch of Industrial and Commercial Bank of China and the Director, Managing Director and Chief Executive Officer of Industrial and Commercial Bank of China (Asia) Limited from June 1994 to July 2008.

Currently, Mr. ZHU is an Independent Non-executive Director of Great Eagle Holdings Limited and ZA Bank. Mr. ZHU graduated with a bachelor's degree in Economics from Dongbei University of Finance and Economics and obtained his master's degree in Economics from Central South University of Finance and Economics.
