PKC Wiring Systems Oy along with Wiring & Controls's management signed a contract to acquire Wiring & Controls business and Kabel-Technik-Polska Sp. z o. o. from Inter Groclin Auto Spólka Akcyjna (WSE:GCN) for €50 million on February 12, 2015. The transaction also includes Kabel-Technik-Polska Sp. z o. o., which at the time of the closing will own the entire Wiring and Controls business of Groclin. The transaction is financed with €40 million long term bank loan and €10 million from PKC cash resources. Post completion, KTP will be part of the PKC Group and consolidated by PKC. Wiring & Controls business of Groclin S.A. generated revenue of €56 million and normalised EBITDA of 7% in 2014. André Gerstner, the current President of Groclin S.A., will be appointed as PKC executive board member. The deal is subject to receiving merger clearance from German public administration authority- German Federal Cartel Office. Both parties intend to close the deal by June 30, 2015, with final closing date of November 12, 2015. The deal has no significant impact to PKC Group 2015 results. PCA Corporate Finance and Central Europe Trust-Polska Sp. z o.o acted as financial advisor, Deloitte acted as financial and taxation advisor and Weil, Gotshal & Manges acted as legal advisor to PKC Group. Ari Leppänen, Timo Lappalainen, and Niklas Lönnberg of PCA Corporate Finance and Peter Chudy, and Adam Siwinski of CET Polska acted as financial advisors to PKC Group.
